MEME MAYO is owned and operated by Coast Creative Marketing LLC, a California limited liability company doing business as Meme Mayo, ClashingHeads.com and MemeMayo.com ("Meme Mayo," "Clashing Heads," "we", "us", or "our").

1. Submission of Content

Artists and contributors (“Users”) may submit original content, including artwork, memes, or videos, for consideration and potential publication on Meme Mayo.

  • By submitting content, you represent and warrant that:

    • You are the rightful owner or authorized licensee of the content.

    • You grant Meme Mayo a non-exclusive, royalty-free, worldwide license to display your content on our website and promotional channels.

    • You retain full ownership of your work and are free to publish it elsewhere at any time.

We expect all content submissions to be your own original creations and not to infringe upon the intellectual property rights of others. You warrant this as a condition of uploading your work.

2. Content Guidelines

We maintain a respectful, fun, and inclusive platform. Submissions may not include:

  • Pornographic material

  • Hate speech or discriminatory content

  • Threats of violence or incitement

  • Defamation or malicious falsehoods

Meme Mayo reserves the sole right to determine whether submitted content meets these guidelines. We may remove or decline any submission without notice.

3. No Compensation or Royalties

· Submission of content to Meme Mayo does not entitle the contributor to compensation, royalties, or any form of monetary payment from Meme Mayo, its affiliates, or content partners. By submitting content, the contributor acknowledges and agrees that Meme Mayo provides a platform on the Internet with an opportunity to reach its Internet audience without expectation of payment from you and that any exposure, publicity, or market outreach resulting from publication on the platform shall constitute fair and sufficient consideration.

· Acceptance or use of submitted content by Meme Mayo shall not create any obligation, implied or otherwise, for financial compensation or future compensation of any kind. No expectation of payment shall be inferred from such publication.

  • All contributors are considered independent contractors and are not employees, agents, or partners of Meme Mayo.

4. Hold Harmless and Liability

You agree to indemnify and hold harmless Meme Mayo, its owners, affiliates, employees, and agents from and against any and all claims, damages, losses, or legal actions arising from:

  • Your content submissions

  • Violations of third-party rights

  • Breach of these Terms and Conditions

We are not responsible for legal issues stemming from content you submit.

5. Disputes and Concerns

If you wish to raise a concern or request removal of your work:

  • Please contact us in writing at the email or mailing address provided on our Contact page before initiating any formal complaint or removal request.

Disputes will be resolved via the largest recognized mediation service in California. These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to conflict of law principles.

6. Changes to These Terms

We may update these Terms from time to time. Your continued use of Meme Mayo after changes are posted constitutes acceptance of the revised Terms.

7. Governing Law; Jurisdiction and Venue

This Agreement shall be governed by, and construed in accordance with, the laws of the State of California, without regard to its conflict of law principles.

8. Arbitration; Governing Law; Jurisdiction

Any dispute, claim, or controversy arising out of or relating to this Agreement, including the determination of the scope or applicability of this agreement to arbitrate, shall be resolved by binding arbitration administered by the American Arbitration Association (“AAA”) in accordance with its Commercial Arbitration Rules. The arbitration shall take place in Orange County, California, and judgment on the award rendered by the arbitrator(s) may be entered in any court having jurisdiction.

Each party shall bear its own attorneys’ fees and costs, and the parties shall share equally in all other arbitration costs, including AAA administrative fees and arbitrator compensation, unless the arbitrator determines otherwise.

The arbitrator shall have the authority to award all remedies available under applicable law, subject to any limitations set forth in this Agreement. The parties agree to waive any right to a jury trial or to participate in any class action or class arbitration.
